The European Company may be formed principally by merging two public limited liability companies in at least two different member States, (or the creation of a holding company or a joint subsidiary or by a merger of companies located in at least two member states or by the conversion of an existing company set up under national law).

The SE will allow economic entities to act as a single company operating via establishments in member States and no longer through a multitude of branches subject to a multitude of national laws.
